OilExchange Web Sites are controlled by OilExchange Inc. from its offices within the State of Colorado, United States of America. OilExchange Web Sites can be accessed from all 50 of the United States, as well as from other countries around the world. As each of these places has laws that may differ from those of the State of Colorado, by accessing an OilExchange Web Site both the user and OilExchange agree that the laws of the State of Colorado, without regard to the conflicts of laws principles thereof, will apply to all matters arising out of, or related to, such user’s access.

By accessing an OilExchange Web Site both the user and OilExchange agree to, and hereby submit to, the exclusive personal jurisdiction and venue of the District Court of Denver County and/or the United States District Court for the State of Colorado with respect to all matters between the user and OilExchange. OilExchange makes no representation that materials on its web sites are appropriate or otherwise lawful for use in other jurisdictions. Those who choose to access an OilExchange Web Site from other locations do so on their own initiative and are responsible for compliance with local laws.

Use of the OilExchange Web Sites is unauthorized in any jurisdiction that does not give effect to all provisions of these User Terms and Conditions, including without limitation this paragraph concerning applicable laws. Each user agrees that no joint venture, partnership, employment, or agency relationship exists between such user and OilExchange as a result of this agreement or the use of any OilExchange Web Site.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this agreement shall continue in effect. Unless otherwise specified herein, the user terms and conditions constitute the entire agreement between the user and OilExchange with respect to the OilExchange Web Sites and it supersedes all prior or contemporaneous communications. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
